Terms of Service

1. Agreement and Eligibility

Hassa is operated by Hassa LLC. By creating an account, purchasing a subscription or credits, accessing the Services, or otherwise using Hassa, you agree to these Terms and the policies incorporated by reference, including the Acceptable Use Policy. You also acknowledge the Privacy Policy and Cookie Policy.

You must be at least 18 years old and legally capable of entering into a binding contract. If you use Hassa on behalf of an organization, client or employer, you represent that you have authority to bind that entity.

2. Accounts

You are responsible for maintaining the confidentiality and security of your account credentials and for activity through your account. You must provide accurate information and promptly notify Hassa if you believe your account has been compromised.

Hassa may use reasonable security measures, including authentication requirements, access limits, verification, temporary suspension or other protective actions.

3. Services and Third-Party Providers

Hassa provides tools that may create, generate, transform, edit, analyze, animate, synthesize or otherwise process images, video, audio, music, speech, text, characters and other media using artificial intelligence and related technologies.

Features, models, providers, limits, resolutions, durations, prices, credit costs and availability may change. Certain Services rely on third-party AI, infrastructure, storage, authentication and payment providers, and Hassa does not guarantee that a particular model or provider will remain available.

4. Inputs and User Content

Input means any prompt, instruction, image, photograph, video, audio file, voice recording, music, document, character, logo, trademark, reference material, dataset or other material you submit to Hassa.

You retain any ownership rights you already have in your Inputs. You grant Hassa a worldwide, non-exclusive, limited license to host, copy, transmit, process, reproduce, modify and transform Inputs only as reasonably necessary to operate, secure, maintain and provide the Services, complete your requests, comply with law and enforce our policies.

You are solely responsible for your Inputs and represent that you have all rights, permissions, licenses, authorizations, releases and consents required for your intended use, including copyright, trademark, privacy, publicity, likeness, image, voice, music, performance and contractual rights.

Material being publicly accessible or downloadable online does not mean that you have permission to use it.

5. Outputs

Output means any image, video, audio, music, text, voice, animation, modification or other result generated through Hassa.

As between you and Hassa, and to the maximum extent permitted by applicable law and third-party provider terms, you retain your rights in Inputs and Hassa assigns to you any rights Hassa may have, if any, in Outputs generated specifically for you and that Hassa is permitted to assign.

Hassa does not guarantee that an Output is copyrightable, registrable, exclusive, original, unique, non-infringing or free of third-party rights. AI systems may generate similar or identical content for different users.

6. Your Responsibility for Generations

You are solely responsible for reviewing each Output before publishing, selling, distributing, licensing, broadcasting, advertising, delivering it to a client or otherwise using it.

You are responsible for determining whether your generation and intended use comply with applicable laws, contracts, licenses, intellectual-property rights, privacy and publicity rights, advertising rules and platform policies.

Hassa does not provide copyright clearance, trademark clearance, music clearance, talent clearance, likeness clearance, voice clearance or legal review of user generations.

A generation successfully completing, or a safety system not blocking a request, does not constitute legal approval, rights clearance or authorization for your intended use.

7. Faces, Voices and Real People

You may use another person's face, likeness, image, voice, performance, identity, name or other identifying characteristics only when you have a lawful basis and any authorization required for the intended use.

You must not use Hassa for fraudulent impersonation, identity theft, scams, deceptive endorsements, unlawful digital replicas or conduct that violates privacy or publicity rights. A person's fame or public profile does not automatically authorize commercial exploitation of their identity.

8. Intellectual Property and AI Copyright

You must not knowingly use Hassa to infringe copyright, trademark, trade dress, privacy, publicity, trade-secret, contractual or other rights. Hassa may block, limit, remove or review material when reasonably necessary to protect users, third parties or the Services.

Laws governing AI and intellectual property continue to evolve and differ by jurisdiction. Hassa does not represent that purely AI-generated Outputs will qualify for copyright or equivalent protection. Human creative contribution may affect the legal status of a work.

9. Credits

Subscription Credits are included with an applicable plan and reset or expire at the end of the applicable billing cycle or credit period. They do not roll over unless Hassa expressly states otherwise.

Purchased Credit Packs are one-time purchases and do not expire while the account remains active, unless a future product clearly discloses different terms or applicable law requires otherwise. Purchased credits have no cash value, are not currency and are non-transferable unless Hassa expressly permits otherwise.

Promotional or Bonus Credits may expire according to the terms shown when they are granted. Hassa may spend credits that expire sooner before non-expiring purchased credits.

10. Failed Generations

AI generation is probabilistic and may fail because of provider errors, safety systems, invalid Inputs, capacity limitations, network problems, model restrictions or technical failures.

Hassa may automatically release or restore credits for qualifying technical failures. An unexpected, stylistically different or subjectively undesirable result is not, by itself, a failed generation.

11. Subscriptions, Billing and Refunds

Recurring subscription price, billing frequency, included credits and material terms are displayed before purchase. By purchasing a recurring subscription, you authorize Hassa and its payment processor to charge applicable recurring fees until cancellation.

Unless otherwise stated, cancellation prevents future renewal and does not retroactively refund the current billing period. Applicable taxes may be added where required.

Purchases of digital services, subscriptions and credits are generally non-refundable once provided, allocated, consumed or used, except where required by law, for qualifying duplicate or incorrect charges, eligible technical failures, or when Hassa grants an exceptional remedy.

Nothing in these Terms limits mandatory cancellation, refund, withdrawal or consumer rights that cannot lawfully be waived.

12. Acceptable Use and Enforcement

Your use of Hassa must comply with the Acceptable Use Policy and applicable law. Hassa may restrict, suspend or terminate access when reasonably necessary to address fraud, abuse, security threats, payment violations, policy violations, legal requirements, third-party rights or provider restrictions.

13. Third-Party AI and Other Services

Depending on the feature or model selected, Hassa may transmit Inputs and related technical information to third-party model or infrastructure providers required to perform your request. Providers may have their own technical restrictions, availability limitations, safety systems, retention practices and contractual terms.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HASSA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND AVAILABILITY EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

Hassa does not warrant that Outputs will be unique, accurate, legally protectable, non-infringing, error-free or suitable for your particular commercial purpose.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASSA AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS, DATA OR GOODWILL.

To the maximum extent permitted by law, Hassa's aggregate liability arising from the Services will not exceed the greater of the amount you paid Hassa during the twelve months before the event giving rise to the claim or USD $100. These limitations do not apply where prohibited by applicable law.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Hassa LLC and its affiliates, officers, members, employees, contractors and service providers from third-party claims, liabilities, losses, damages, judgments, expenses and reasonable legal fees arising from your Inputs, your use of Outputs, your violation of these Terms or the Acceptable Use Policy, or your infringement or alleged infringement of third-party rights.

This section does not require a consumer to indemnify Hassa where such an obligation is prohibited by applicable law.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except to the extent mandatory law in your jurisdiction applies. Nothing in these Terms deprives consumers of protections that cannot legally be waived.

18. Changes

Hassa may update these Terms as the Services, law or providers change. Material changes may be communicated through the Service, by email or another reasonable method. Where required, Hassa may request acceptance of updated Terms before continued use.
